Terms of Service

These Terms of Service (the "Terms") govern your use of the Lotus Connect platform (the "Service") operated by Lotus Connect LLC ("Lotus Connect", "we", "us"). By creating an account or using the Service you agree to be bound by these Terms.

1. Eligibility and accounts

The Service is intended for use by procurement administrators, buyers, accounting staff, and supplier contacts working on behalf of an education, government, transportation, healthcare, or construction organization, or a supplier serving those industries. You must be at least 18 years old and authorized by the organization on whose behalf you act. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

2. Description of the Service

The Lotus Connect platform provides workflow tools for procurement teams, including request intake, quoting, purchase order issuance, PunchOut catalog integration, fulfillment tracking, invoicing, accounting hand-off, and reporting. We may add, modify, or remove features from time to time.

3. Customer organization control

When you use the Service on behalf of a customer organization, that organization is the controller of the data you create. The organization administrator may grant or revoke your access, configure roles, export data, and request deletion. We act as a data processor for the organization.

4. Acceptable use

You agree not to:

• Use the Service to violate any applicable law, regulation, or third-party right.
• Upload or transmit malicious code, attempt to compromise the Service's security, or interfere with other users.
• Attempt to gain unauthorized access to any account, system, or data.
• Reverse engineer, scrape, or otherwise extract data from the Service except through authorized API endpoints provided to you.
• Use the Service to send spam, phishing, or unsolicited commercial communications.
• Misrepresent your identity, your organization, or your authority to act on its behalf.

5. Third-party integrations

The Service integrates with third-party platforms including Amazon Business, QuickBooks Online, HubSpot, Resend, Anthropic, and others. Your use of those integrations is subject to the terms and privacy policies of those providers. Lotus Connect is not responsible for the actions or content of third-party services.

6. PunchOut and supplier transactions

When you initiate a PunchOut session or send a purchase order through the Service, you authorize Lotus Connect to transmit the information necessary to complete that transaction (including identifiers, item details, shipping addresses, and authentication tokens) to the supplier you select. Lotus Connect is not a party to the purchase contract between you and the supplier and does not guarantee supplier performance.

7. Intellectual property

The Service, including all software, content, and trademarks, is owned by Lotus Connect or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the data you submit; you grant us a license to use, store, and process that data solely to provide the Service.

8. Fees and billing

Fees, if any, are set out in your customer organization's agreement with Lotus Connect. Individual end users are not personally billed for use of the Service. Currency, payment terms, and renewal cycles are governed by that organization-level agreement.

9. Termination

We may suspend or terminate your access to the Service at any time for material breach of these Terms, suspected fraud, security incidents, or non-payment by your customer organization. You may stop using the Service at any time. Upon termination of your customer organization's subscription, we will return or delete the organization's data per the data retention obligations described in the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Lotus Connect disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Lotus Connect's total liability arising out of or relating to these Terms or the Service will not exceed the amount paid by your customer organization for the Service in the twelve (12) months preceding the claim, or one hundred US dollars (USD 100) if no fees were paid. In no event will Lotus Connect be liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Lotus Connect and its affiliates from any claim arising out of your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.

13. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any dispute arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Hudson County, New Jersey, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted at the top of this page with a new effective date and communicated by email to account administrators. Continued use of the Service after a change constitutes acceptance of the updated Terms.
